By accessing the Website or engaging us for a project, you agree to be bound by these Terms.
Novpix is a software development company. We do not operate a public user-account product or sell subscriptions through this Website. The Website is informational; commercial work is delivered under a project-specific engagement letter ("Engagement Letter") that supplements these Terms. In the event of a conflict between these Terms and a signed Engagement Letter, the Engagement Letter prevails.
By accessing the Website or signing an Engagement Letter with us, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Website or engage us for Services.

Ownership of source code, designs, and other deliverables produced under an Engagement Letter is governed by that Engagement Letter. Our standard practice is to transfer full ownership of project deliverables to the client upon receipt of final payment, subject to any third-party components and reusable internal libraries identified in the Engagement Letter.
You retain ownership of any materials you submit to us through contact forms, email, or during a project engagement. By submitting materials, you grant us a limited, non-exclusive, royalty-free license to use them solely for the purpose of responding to your inquiry, scoping a potential engagement, or delivering an engaged project. We will not publicly disclose materials marked confidential.
Commercial software development services are not sold through this Website. They are provided exclusively under a written Engagement Letter that specifies the scope, deliverables, timeline, fees, and milestones. Without limiting the Engagement Letter:

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOVPIX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING OUT OF YOUR USE OF THE WEBSITE. Liability under any Engagement Letter is governed by that agreement.
You agree to indemnify, defend, and hold harmless Novpix and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of your use of the Website or violation of these Terms.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Disputes arising under an Engagement Letter are governed by the law specified in that Engagement Letter.
We reserve the right to modify these Terms at any time. We will update the "Last updated" date when we do. Your continued use of the Website after such changes constitutes acceptance of the modified Terms.
